Summary: By using June, you agree to these terms. We provide AI-powered operations infrastructure for trade service contractors. You retain ownership of your data. The contractor is the merchant of record for all client-facing transactions.

1. Acceptance of Terms

By accessing or using June ("Service"), operated by Machen Hive, Inc., you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

June is an AI-powered operations platform for trade service contractors (plumbing, HVAC, electrical, landscaping, and other trades). June provides AI voice answering, SMS dispatch, crew scheduling, job tracking, and payment processing services on behalf of licensed contractors. Our Service includes:

  • AI voice receptionist for inbound call intake, triage, and emergency dispatch
  • SMS-based technician dispatch with accept/decline, ETA tracking, and job status updates
  • Multi-crew scheduling with drag-and-drop board, recurring jobs, and weather awareness
  • Payment processing via Stripe Connect where the contractor is merchant of record
  • Customer management, proposal tracking, and invoicing
  • Integration with QuickBooks, Google Calendar, and Microsoft Outlook

3. Platform Role and Contractor Relationship

June is a technology platform that provides communication and dispatch orchestration services to licensed contractors. June does not hold trade licenses, perform any work, or act as a contractor.

The contractor is the contracting party, the licensed service provider, and the merchant of record for all client-facing transactions. Clients contract directly with the contractor, not with June. Payment for services flows through the contractor's Stripe Connect account.

June charges the contractor separately for platform access via monthly subscription and per-dispatch fees. June's revenue comes from the contractor, not from client transactions.

4. Account Registration

To use the Service, you must create an account with accurate information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use
  • Maintaining valid contractor licensing and insurance as required by your state

5. Acceptable Use

You agree to use the Service only for lawful purposes. You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Solicit off-platform payments from clients dispatched through June
  • Interfere with or disrupt the Service or servers
  • Misrepresent your licensing, insurance, or qualifications
  • Use the messaging system to send unsolicited marketing or spam
  • Attempt to gain unauthorized access to any part of the Service

6. SMS and Communications

By using June, you acknowledge that the Service sends SMS and voice communications on your behalf to your customers and crew members. You are responsible for:

  • Obtaining proper consent from recipients before adding them to the platform
  • Ensuring that your use of the messaging features complies with applicable laws including the TCPA and CTIA guidelines
  • Honoring opt-out requests from message recipients

7. Fees and Payment

You agree to pay all fees associated with your subscription plan and per-dispatch usage. Fees are billed in advance on a monthly basis. Per-dispatch fees are billed at the end of each billing cycle.

We reserve the right to change our pricing with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

8. Data Ownership

You retain all rights to your data. By using the Service, you grant us a limited license to use your data solely for providing and improving the Service. This includes:

  • Processing calls and messages on your behalf
  • Dispatching technicians and tracking job status
  • Syncing data with your integrated software platforms
  • Using anonymized, aggregated data to improve our AI models

9. Intellectual Property

The Service, including all software, algorithms, AI models, designs, and content, is owned by Machen Hive, Inc. and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service without our written consent.

10. Third-Party Integrations

The Service integrates with third-party platforms including QuickBooks, Google Calendar, Microsoft Outlook, Stripe, and Twilio. Your use of these integrations is subject to the terms of those third parties. We are not responsible for the availability or performance of third-party services.

11. Service Availability

We strive to maintain 99.9% uptime. However, we do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control.

12. Limitation of Liability

To the maximum extent permitted by law, Machen Hive, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

13. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be error-free, secure, or meet your specific requirements. June does not guarantee the quality, timeliness, or outcome of any work performed by contractors or technicians dispatched through the platform.

14. Indemnification

You agree to indemnify and hold harmless Machen Hive, Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these Terms, or the work performed by you or your technicians for clients.

15. Termination

Either party may terminate this agreement at any time with 30 days' written notice. We may suspend or terminate your access immediately if you violate these Terms, including soliciting off-platform payments.

Upon termination, you may request a copy of your data within 30 days. After this period, we may delete your data in accordance with our Privacy Policy.

16. Governing Law

These Terms shall be governed by the laws of the State of California. Any disputes shall be resolved in the state or federal courts located in San Diego County, California.

17. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Service. Continued use after changes take effect constitutes acceptance.
